You further agree and understand that Forks may materially affect the value, function, and/or name, and may result in loss of control or ownership, of the Digital Assets you hold on BX Wallet. 14.2. If a Fork occurs, it may result in the creation of a new Digital Asset (the "New Forked Asset") related to an existing Digital Asset (the "Prior Asset"). You further understand, acknowledge, and agree that each Fork may materially affect the value, function, and/or name, and may result in loss of control or ownership, of the Prior Asset that is held in your BX Wallet Account, and that the New Forked Asset may have minimal or no value. 14.3. You further understand, acknowledge and agree that the underlying protocol(s) of a Network(s) has sole discretion on whether to support a Forked Network(s) and the New Forked Asset. The underlying protocol(s) of a Network(s) and/or the Forked Network(s) have sole discretion as to who should have ownership or receive New Forked Assets and/or other benefits (if any). This could occur with potentially little or no warning and it is your responsibility to understand the implications of such Forks. 14.4. Completion of transactions that you initiate through BX Wallet depends on the availability and operation of the relevant Blockchain Network you interact with using BX Wallet. Forks may cause transactions that you initiate through BX Wallet to fail. You acknowledge the risks presented by Forks and hereby accept that we have no responsibility for any losses or damage arising as a result of any Forks and/or Unsupported Forked Network. 14.8. WE HAVE NO CONTROL OVER, NOR DO WE HAVE THE ABILITY TO INFLUENCE, THE CREATION OR IMPLEMENTATION OF A FORK OR OF THE NEW FORKED ASSET. WE CAN PROVIDE NO ASSURANCES ABOUT THE SECURITY, FUNCTIONALITY OR SUPPLY OF ANY DIGITAL ASSET, INCLUDING BOTH THE NEW FORKED ASSET AND THE PRIOR ASSET. YOU UNDERSTAND, ACKNOWLEDGE AND AGREE THAT WE ASSUME NO LIABILITY RELATING TO ANY CHANGE IN THE VALUE OF ANY DIGITAL ASSET (WHETHER OR NOT RESULTING FROM A FORK). YOU UNDERSTAND, ACKNOWLEDGE AND AGREE THAT A FORK COULD CONSTITUTE A FORCE MAJEURE EVENT BEYOND OUR REASONABLE CONTROL, WHICH COULD AFFECT THE VALUE OF YOUR DIGITAL ASSETS, AND THAT THE COMPANY DOES NOT ASSUME ANY LIABILITY FOR LOSSES RESULTING FROM SUCH EVENTS. Airdrops 14.9. In the event of an Airdrop, the Company may temporarily suspend any BX Wallet Services or support for any Digital Assets for an extended period of time (with or without advance notice to you) until we have determined that such functionality can be restored. You further understand, acknowledge and agree that the underlying protocol(s) of the Network(s) has sole discretion regarding the terms of the Airdrop, including but not limited to who should have ownership or receive the Airdrop. This could occur with potentially little or no warning and it is your responsibility to understand the implications of such Airdrops. Whether you are entitled to an Airdrop is solely in the discretion of the underlying protocol(s) of the relevant Network(s). However, in respect of an Airdrop on any networks not made available to you on BX Wallet, including but not limited to Unsupported Forked Networks, the Digital Assets and/or benefits in relation to an Airdrop will not be made available to you on BX Wallet unless and until we decide to support such Network(s). 14.11. You further agree that any Digital Assets and/or benefits in relation to an Airdrop does not create or represent any relationship between us and the sender and/or the related Digital Asset Network, and that we are not subject to any obligations whatsoever as they relate to the sender and/or the related Network(s). We will not be liable to you in respect of any loss or damage arising as a result of any Airdrops on any unsupported Blockchain Network(s) on BX Wallet. Staking 14.12. Additional Risk Disclosures 19.1. High-Risk Asset Class. The nature of Digital Assets may be very complex, and their terms, features, and/or risks may not be readily or fully understood due to the complex structure, novelty, and reliance on technological features. Digital Asset prices may fluctuate significantly at any given moment for any reason, moving up or down and even becoming valueless. The likelihood of losses is just as likely as profits incurred from Digital Assets transactions. Due to these price fluctuations, you may gain or lose value in your Digital Assets at any given moment. Digital Assets are therefore generally considered a high-risk asset class and may or may not be considered securities under certain jurisdictions. You must therefore exercise prudent judgment with any Digital Asset transactions. 19.2. Irreversible Nature of Transactions. Digital Asset transfers are irreversible. Thus, accidental or fraudulent transactions with respect to Digital Assets may not be recoverable. You must therefore exercise caution when making any Digital Asset transfers and are solely liable for any losses that may arise. 19.3. No Statutory or Regulatory Protection. In comparison to other types of assets, including fiat currencies and securities, any Digital Asset transactions may not be subject to a right to claim under any investor compensation fund established by any government or regulatory authority; furthermore, Digital Assets held by any third party platform or other service providers may not be protected deposits, and may not be protected by any deposit protection scheme in any relevant jurisdiction. Thus, Digital Assets may have a reduced level and type of protection compared to fiat currencies, securities, and other asset classes and types. 19.4. Hardware or Software Risks. You are responsible for providing the necessary equipment and software in order to utilize BX Wallet, including any hardware and software protection mechanisms and protocols. Attempting to access the Services without the required equipment or software may result in permanent losses. The Company shall not be responsible for any of these losses that may occur. Further, Digital Assets rely on various types of blockchain and/or distributed ledger technology. This technology is an open-source software that is built upon blockchain, which is still considered a novel and experimental technology. There are many risks that arise from this reliance, including but not limited to: existing technical flaws in the technology, malicious targets, majority-mining, consensus-based or other mining attacks, changes in the protocol or algorithms, changes in community or miner support, rapid and/or extreme fluctuations in value of relevant Digital Assets, the existence or development of competing networks, platforms, and assets, flaws or vulnerabilities in coding languages, disputes between developers, miners, and/or users, and regulatory action. 19.5. Future Cryptographic Innovation. Innovation and developments in cryptographic technologies and techniques, including but not limited to the advance of artificial intelligence and/or quantum computing may pose security risks to all cryptographically-based systems, including Digital Assets, Digital Asset wallets, communication mediums, any other part of BX Wallet, and even your data, as applicable. 19.6. Legal and Regulatory Developments. All Digital Assets are generally exposed to legal and regulatory risks. Legal and regulatory treatment of Digital Assets may change, and regulation of Digital Assets is unsettled and rapidly changing. Furthermore, legal and regulatory treatment of Digital Assets may vary substantially across different jurisdictions. Because of these legal and regulatory risks, any Digital Asset may decrease in value or even lose all value due to any legal or regulatory changes. 19.7. Materials May Not Be Up to Date. The Company is not obliged to provide any adaptations, enhancements and/or modifications to the materials and information provided. This means, for example, that you may have an out-of-date version of BX Wallet, and new features may not be incorporated to the version of BX Wallet you use. It is your responsibility to ensure you update and download applicable updates and versions. 19.8. Unauthorized Access. You accept there is a genuine risk that unauthorized third parties may access your BX Wallet and make transactions without your knowledge or authorization, whether by obtaining control over a device you use or by other methods. The use of BX Wallet and/or the Services involve risks associated with Digital Assets which are not limited to risks set out above or these Terms. These risks, as well as additional risks arising from now or in the future can be substantial and potentially devastating. You should therefore carefully consider whether using BX Wallet or any of the Services is suitable for you in light of your financial condition prior to commencing your use of BX Wallet and/or the Services. You must seek professional advice regarding your particular financial condition prior to commencing your use of BX Wallet and/or the Services, and you shall be fully liable for any losses arising from the above. 20. Indemnification You agree to indemnify and hold harmless the Company, its affiliates, third-party service providers, and each of their shareholders, affiliates, officers, directors, agents, joint venture entities, employees and representatives, from and against any and all claims, liability, costs, demands and expenses (including, without limitation, legal fees and any fines, fees or penalties imposed by any regulatory authority) arising out of or related to (a) your breach of any of these Terms; (b) your wrongful or improper use of BX Wallet; (c) any third party's access or use of your BX Wallet Account, Codes, Recovery Phrase, BX Wallet address information; or (d) your violation of any applicable law, rule, regulation, or the rights (proprietary or otherwise) of any third party. 21. Taxes It is your sole responsibility to determine whether, and to what extent, any Taxes apply to your use of BX Wallet, and to withhold, collect, report and remit the correct amounts of such Taxes to the appropriate tax authorities. We are not obligated to, nor will we determine whether Taxes apply, or calculate, collect, report, or remit any Taxes to any tax authority arising from any transaction. 22. Transfer, Assignment or Delegation These Terms, and any rights and obligations and licences granted hereunder, are limited, revocable, non-exclusive and personal to you and therefore may not be transferred, assigned or delegated by you to any third-party without our written consent, but may be transferred, assigned or delegated by us without notice and restriction, including without limitation to any of the entities within the Company, or to any successor in interest of any business associated with BX Wallet. Any attempted transfer or assignment in violation hereof shall be null and void. 23. Severability If any provision of these Terms shall be found by any court or administrative body of competent jurisdiction to be invalid or unenforceable, the invalidity or unenforceability of such provision shall not affect the other provisions of these Terms and all provisions not affected by such invalidity or unenforceability shall remain in full force and effect. Such provision will be changed and interpreted to accomplish the objectives of the provision to the greatest extent possible under any Applicable Laws. 24. Entire Agreement/Translation 24.1 These Terms, together with all exhibits, annexes, and schedules attached hereto, constitute the entire agreement between the parties with regard to its subject matter and supersedes and invalidates all other prior representations, arrangements, understandings, and agreements relating to the same subject matter, whether oral or in writing, express or implied. Each party acknowledges that in agreeing to these Terms it does not rely on any statement, representation, warranty, or understanding other than those expressly set out in these Terms. 24.2 These Terms are concluded in the English language and all communications including any notices or information being transmitted shall be in English. In the event that these Terms or any part of it is translated (for any proceedings, for your convenience or otherwise) into any other language, the English language text of these Terms shall prevail. 24.3 For your convenience, you may choose to view BX Wallet in your local language. For the avoidance of doubt, these translations are supplied for users' convenience only. The Company does not guarantee the accuracy of these translations. In the event of dispute, the English language version of all disclaimers, communications or terms shall prevail. 25. Waiver These Terms shall not be waived in whole or in part except where agreed by all parties in writing. No failure or delay on the part of any party hereto in exercising any right, power or remedy hereunder shall operate as a waiver thereof, nor shall any single or partial exercise of any such right, power or remedy preclude any other or further exercise thereof or the exercise of any other right, power or remedy. No right, power or remedy conferred upon or reserved for any party in these Terms is exclusive of any other right, power or remedy available to that party and each such right, power or remedy shall be cumulative. 26. Notices and Communications By using BX Wallet, you agree that we may provide you with any notices or other communications, including marketing, relating to your use of BX Wallet electronically: (a) via email (in each case to the address that you provide), or (b) by posting to any public channel. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted. You will always be given the option to unsubscribe from receiving any marketing material from us. 27. This provision shall not prohibit you or the Company from filing any award issued by the arbitrator in a court proceeding to confirm or challenge the award, although the filing party shall take reasonable efforts to obtain a court order to seal the award. This confidentiality provision shall survive termination of these Terms and of any arbitration brought pursuant to these Terms.
